These Terms & Conditions (“Terms”) apply to the services provided by Xpat Housing Solutions B.V. (“Xpat Housing Solutions”, “we”, “us”) and to agreements entered into with private clients (“Private Client”) and corporate clients (“Corporate Client”).
Where a separate service agreement, order confirmation, booking confirmation, statement of work or individual contract applies, that document may supplement these Terms.
In case of conflict, the following order of precedence applies:
- the individual service agreement / order confirmation / contract
- these Terms
- any documents expressly incorporated by reference.
Part I – General Terms (all clients)
1. Definitions
Client: the person or legal entity purchasing services from Xpat Housing Solutions.
Services: rental solutions, buying solutions, relocation/settling-in services, short stay related support and related services as agreed.
Beneficiary: in corporate engagements, the employee/assignee receiving the Services.
2. Nature of services
2.1 All Services are provided on a best-effort basis. Xpat Housing Solutions does not guarantee a specific outcome, including the successful securing of a particular property.
2.2 The final decision to rent, buy, accept contractual terms or proceed with any transaction remains solely with the Client and/or Beneficiary.
3. No legal or technical advice
Unless expressly agreed otherwise in writing, Xpat Housing Solutions does not act as legal counsel, notary, tax advisor, surveyor, inspector, structural engineer or mortgage advisor, and does not provide formal legal, tax, structural or technical advice.
4. Client obligations
4.1 Client shall provide complete and accurate information in a timely manner and shall cooperate reasonably in the performance of the Services.
4.2 Client remains responsible for decisions taken based on information provided by third parties.
5. Confidentiality and data protection
5.1 Xpat Housing Solutions treats confidential information with due care and only shares personal data where necessary for the performance of the Services or where legally required.
5.2 Processing of personal data is described in the Privacy Statement available on our website.
5.3 Where external partners or service providers are involved, each party remains responsible for its own processing obligations.
6. Use of third parties
6.1 Xpat Housing Solutions may involve employees, freelancers and external partners (including real estate agencies and buying agents) for the performance of the Services.
6.2 Each party remains responsible for its own acts and omissions.
7. Intellectual property
All intellectual property rights relating to materials and content created by Xpat Housing Solutions remain with Xpat Housing Solutions unless agreed otherwise in writing.
8. Force majeure
Neither party is liable for failure or delay due to circumstances beyond reasonable control, including governmental measures, disruptions in utilities or services by third parties, or natural disasters.
9. Liability (general)
9.1 Xpat Housing Solutions is not liable for damage resulting from incorrect or incomplete information provided by or on behalf of Client.
9.2 Liability is limited to direct damage caused by intent or gross negligence.
9.3 Xpat Housing Solutions is not liable for indirect or consequential damages, unless caused by intent or gross negligence.
9.4 Where liability is established, it is limited to the amount paid for the relevant Services or the amount covered by insurance, whichever is lower.
10. Complaints and claims
Client shall notify Xpat Housing Solutions of any complaints without undue delay after discovery.
11. Governing law and disputes
These Terms and any disputes arising in connection with them shall be governed by Dutch law and shall be submitted to the competent court of the District Court of Oost-Brabant, the Netherlands, unless mandatory law provides otherwise.
Part II – Terms for Private Clients – Rental Services
12. Scope
Xpat Housing Solutions provides guidance and support in the rental process but does not guarantee that a property will be found or accepted.
13. Rent level and WWS
Rental Services do not include verification of rent levels under the Dutch housing valuation system (WWS), unless expressly agreed.
14. Exclusivity
By engaging Xpat Housing Solutions for Rental Services, Client agrees to work exclusively with Xpat Housing Solutions for the duration of the agreed service period.
15. Payments
Payment terms are set out in the individual service agreement or invoice.
16. Right of withdrawal
Where applicable, statutory withdrawal rights apply. If Client requests services to start during the withdrawal period and then withdraws, Client remains liable for a reasonable pro rata fee.
Part III – Terms for Private Clients – Buying Services
17. Scope
Xpat Housing Solutions provides buying guidance on a best-effort basis and does not guarantee the successful purchase of any property.
18. Third-party information and advice
Xpat Housing Solutions does not guarantee the accuracy of third-party information and does not provide formal legal, tax or technical advice.
19. External buying agents
Xpat Housing Solutions may involve external certified buying agents or partner agencies. Each party remains responsible for its own professional activities.
20. Exclusivity
By engaging Xpat Housing Solutions for Buying Services, Client agrees to work exclusively with Xpat Housing Solutions for the duration of the agreed service period.
21. Payments
Payment terms are defined in the individual service agreement or invoice.
22. Right of withdrawal
Statutory withdrawal rights apply where relevant. Reasonable pro rata fees may apply for services already performed.
Part IV – Terms for Corporate Clients
23. Scope and beneficiaries
Corporate Clients may order Services for Beneficiaries and remain responsible for payment and compliance.
24. Confidentiality
Confidential information shall remain confidential for five years after termination unless law requires otherwise.
25. Data protection
Xpat Housing Solutions processes personal data in accordance with its Privacy Statement and applicable data protection law.
26. Term and termination
Term and termination are governed by the corporate agreement and/or service orders.
27. Cancellation
Cancellation after commencement of services may lead to reasonable costs being charged.
28. Miscellaneous
Amendments must be in writing. Client’s general terms are excluded unless accepted in writing.
29. Governing law and disputes
All Corporate agreements shall be governed by Dutch law and submitted to the competent court of the District Court of Oost-Brabant, the Netherlands.
